These Terms of Sale ("CGV") govern subscriptions to the CoachPoint service, accessible at https://coachpoint.ai, operated by Creative Logic, a French société par actions simplifiée with share capital of €1,000, registered with the Paris Trade and Companies Register under number 917 887 788, with registered office at 49 rue de Ponthieu, 75008 Paris ("Creative Logic", "we", "us").
This English version is provided for informational purposes only. In case of any conflict between the French version and this translation, the French version prevails, subject to mandatory consumer-protection rules in the customer's country of habitual residence.
1. Service
CoachPoint is an online (SaaS) service that helps independent professional coaches create content for professional platforms such as LinkedIn. The service lets the user define an editorial voice profile, generate content calendars, and draft posts using generative AI models.
Content produced by CoachPoint is a statistical draft. The user remains solely responsible for its review, modification, validation, and publication.
2. Customer profile
The service is primarily intended for professionals (independent coaches, consultants, service providers acting in the course of their business). By subscribing to CoachPoint, the customer confirms acting in the course of their commercial, craft, liberal, or professional activity.
The customer declares having the legal capacity required to subscribe to the service and being at least 18 years old.
3. Price and taxes
The subscription price is €89 per month excluding VAT, or €89 inclusive of VAT under the intra-EU B2B reverse-charge mechanism or if the customer is established outside the European Union and benefits from an applicable exemption.
For customers established in France or another EU Member State:
- B2B with a verified intra-EU VAT number: invoiced without VAT (reverse charge);
- B2C or customers without a valid VAT number: French VAT applied at the rate in force (20% as of the last update), added to the price excluding VAT.
Prices are stated in euros. Any price change will be notified at least thirty (30) days in advance by email and will take effect on the next billing period.
4. Subscription, term, and renewal
4.1 The subscription is concluded for a fixed monthly term and is automatically renewed at each monthly billing date, unless terminated under Section 7.
4.2 The subscription becomes effective once payment is validated.
5. Payment
5.1 Payment is processed online via Stripe Payments Europe Ltd, licensed as a payment institution in the European Union. Accepted payment methods are listed at checkout.
5.2 The customer authorises Creative Logic and Stripe to automatically charge the recurring subscription fee at each billing date.
5.3 In case of payment failure, Creative Logic notifies the customer by email and may suspend access to the service after a reasonable period, typically seven (7) business days.
6. Right of withdrawal (consumer customers)
6.1 In accordance with Articles L. 221-18 et seq. of the French Consumer Code, customers qualifying as consumers have a 14-day right of withdrawal from the date the contract is concluded, without having to justify the decision or pay any penalty.
6.2 Explicit waiver for digital services. In accordance with Article L. 221-28 13° of the French Consumer Code, the consumer customer expressly acknowledges that, by starting to use the CoachPoint service during the withdrawal period (for example, by generating a draft or configuring a voice profile), they waive their right of withdrawal for the portion of the service already supplied. The customer retains the right of withdrawal for the portion not yet performed.
6.3 Customers acting in a professional capacity do not benefit from the right of withdrawal provided by Articles L. 221-18 et seq.
7. Termination
7.1 The customer may terminate the subscription at any time:
- via the subscription management section of the CoachPoint application; or
- by writing to contact@creativelogic.es.
7.2 Termination takes effect at the end of the current monthly billing period. No pro-rata refund is due for partial periods, except where mandatory law of the customer's country requires otherwise.
7.3 Creative Logic may suspend or terminate the customer's access in case of serious breach of these CGV or the Terms of Service, after notice giving the customer a reasonable opportunity to cure.
8. Service performance
8.1 Creative Logic provides the service under a best-efforts obligation (obligation de moyens). Creative Logic commits to applying reasonable diligence to ensure the availability, security, and quality of the service.
8.2 The service may evolve to improve content quality, security, or user experience. Material changes adverse to the customer will be notified at least thirty (30) days in advance.
8.3 Maintenance operations may temporarily affect service availability.
9. Warranties and limitations
9.1 CoachPoint does not warrant that generated content will produce a commercial result, particular visibility, or be entirely error-free.
9.2 The customer is solely responsible for editorial, legal, ethical, and professional review of content before publication, particularly in relation to:
- rules applicable to their profession;
- third-party rights (copyright, image rights, privacy);
- terms of use of third-party platforms (LinkedIn, etc.);
- advertising, transparency, and consumer-protection rules.
9.3 In accordance with Article 50 of Regulation (EU) 2024/1689 (AI Act), generated content is identified as AI-produced through appropriate technical means. The customer is informed that they are interacting with a generative AI system.
10. Limitation of liability
10.1 To the maximum extent permitted by applicable law, Creative Logic's aggregate liability under these CGV is capped at the amount actually paid by the customer during the twelve (12) months preceding the event giving rise to the liability.
10.2 Creative Logic shall not be liable for indirect damages, including loss of profits, loss of goodwill, or harm to reputation.
10.3 The above limitations do not apply to cases of intentional misconduct, gross negligence, or bodily injury, nor to cases where mandatory law prohibits such limitation.
11. Personal data
The processing of personal data is governed by our Privacy Policy, which identifies the sub-processors used, applicable processing regions, and transfer safeguards. Where the customer acts as controller and CoachPoint processes data on the customer's behalf, our Data Processing Addendum (DPA) applies in addition and can be requested at privacy@creativelogic.es.

12. Customer support
Support is reachable at contact@creativelogic.es. Creative Logic endeavours to respond within a reasonable time, typically within two (2) business days.
13. Mediation and dispute resolution
13.1 In case of dispute, the customer is invited to contact Creative Logic at contact@creativelogic.es to seek an amicable solution.
13.2 Consumer mediator (consumer customers). In accordance with Articles L. 612-1 et seq. of the French Consumer Code, consumer customers may use free of charge the consumer mediator designated by Creative Logic. The contact details for the applicable mediator will be communicated to the consumer customer before any mediation process.
13.3 European Online Dispute Resolution Platform. Consumer customers may also use the European online dispute resolution platform available at: https://ec.europa.eu/consumers/odr.
14. Governing law and jurisdiction
14.1 These CGV are governed by French law, without prejudice to mandatory rules applicable to consumers in their country of habitual residence.
14.2 Disputes relating to these CGV fall under the exclusive jurisdiction of the courts of Paris, subject to mandatory rules applicable to consumers.
15. Modifications
15.1 Creative Logic may modify these CGV to reflect changes to the service, sub-processors, or applicable regulation.
15.2 Material changes will be notified to the customer by email and in-app at least thirty (30) days before their effective date. The customer may terminate the subscription before the effective date if they do not accept the changes.
16. Miscellaneous
16.1 Entire agreement. These CGV, together with the Terms of Service, the Privacy Policy, and the Cookie Policy, constitute the entire agreement between the parties.
16.2 Severability. If any provision of these CGV is held void or unenforceable, the remaining provisions remain in force.
16.3 Assignment. The customer may not assign their subscription without Creative Logic's prior written consent. Creative Logic may assign these CGV to an Affiliate or in connection with a reorganisation, merger, or asset transfer.
16.4 Force majeure. Neither party is liable for non-performance due to force majeure within the meaning of Article 1218 of the French Civil Code.
16.5 Language. These CGV are drafted in French. This English translation is provided for informational purposes only. In case of any conflict, the French version prevails, subject to mandatory consumer-protection rules in the customer's country of habitual residence which may entitle the customer to rely on the translated version.
